Overview
Citizenly is a trade name of OverQuo LLC, a New York limited liability company. All references to "Citizenly," "we," "us," or "our" in these terms refer to OverQuo LLC, doing business as Citizenly. Citizenly helps New York City residents contact their elected representatives. By using Citizenly, you agree to these terms. If you do not agree, do not use the platform.
Eligibility
You must be at least 13 years old to use Citizenly. By using the platform, you represent that you meet this requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the platform and that they have read and agreed to these terms on your behalf.
Acceptable use
You may use Citizenly only to send legitimate issue-based civic advocacy messages to your elected officials. Citizenly may not be used for electoral advocacy (including content that supports or opposes a candidate for public office), which may be subject to campaign finance law. You agree that your messages will not contain:
- Threats or incitement to violence: including threats of physical harm, property damage, or harm to any person or group.
- Harassment or intimidation: including repeated unwanted contact, personal attacks, or content intended to frighten or distress a recipient.
- Hate speech: content that attacks a person or group on the basis of race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic.
- False or defamatory statements: including knowingly false claims of fact about any person or organization.
- Spam or mass automated submissions: you may send one message per campaign using your own email address.
- Impersonation: you may not submit a message in another person's name, using another person's email address, or using an address that is not your own NYC residential address.
- Illegal content: any content that violates applicable federal, state, or local law.
Email verification
To prevent fraudulent submissions, you must verify your email address before any message is sent. By clicking the verification link, you confirm that the message reflects your own views, that the address you provided (if any) is your actual NYC residential address, and that you consent to delivery of the message to the named official.
One message per campaign
Each verified email address may send one message per campaign. Attempts to circumvent this limit are prohibited.
Your responsibility
You are solely responsible for the content of your message. Citizenly transmits your message as written after verification. We do not review message content before delivery.
Content ownership
You retain ownership of the messages you write and send through Citizenly. By submitting a message, you grant OverQuo LLC a limited license to store and transmit it solely for the purpose of operating the platform. Campaign organizers retain ownership of the campaign content they create, including title, description, and template messages.
Organizer data obligations
Organizers who access citizen contact information through Citizenly agree to the following obligations:
- Honor opt-out preferences: when a citizen opts out of follow-up contact from the campaign or the organizing group at submission time, the organizer must honor that preference. Opted-out citizens may not be contacted for campaign updates, organizational outreach, or any other purpose unrelated to the immediate submission.
- No unauthorized use: citizen contact information obtained through Citizenly may not be sold, rented, traded, or shared with third parties, and may not be used for purposes beyond what the citizen's opt-in selections permit.
- No targeting without consent: opted-out citizens may not be added to mailing lists, CRMs, or contact databases for outreach purposes without their separate, affirmative consent obtained outside of Citizenly.
Citizens who opt out of both follow-up preferences (organizer contact and campaign updates) are shown to organizers with their email address and home address withheld entirely; their name remains visible. This restriction is enforced at the platform level. Organizers always retain access to district information and submission timestamps for campaign effectiveness reporting.
Violation of these obligations is grounds for immediate account suspension under the Enforcement section below.
Delivery
Citizenly delivers your message to the email address on file for your elected official. We cannot guarantee that the official or their staff will receive, read, or respond to your message. Delivery failures due to factors outside our control (including spam filtering, incorrect contact information maintained by officials' offices, or infrastructure outages) are not the responsibility of OverQuo LLC.
Platform access and content standards
Citizenly is a private platform, not a public forum. We reserve the right to deny organizer account applications, suspend existing accounts, and remove or deactivate campaigns at our sole discretion. Without limiting that discretion, we will deny or revoke access where we determine that a campaign, in whole or in part:
- Targets, demeans, dehumanizes, or advocates discrimination against any person or group on the basis of race, color, ethnicity, national origin, religion, sex, gender, gender identity or expression, sexual orientation, disability, immigration status, or any other characteristic protected under federal, New York State, or New York City law;
- Is designed to harass, intimidate, or suppress the civic participation of any individual or community;
- Is inconsistent with the platform's mission of constructive, constituent-based civic advocacy.
Organizers whose accounts are denied or suspended for violating this policy are not entitled to a refund of any fees paid.
Enforcement
We reserve the right to suspend or terminate access to Citizenly for violations of these terms, including the platform access and content standards above. We may report credible threats to the appropriate authorities.
Indemnification
You agree to indemnify, defend, and hold harmless OverQuo LLC, its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of Citizenly, your violation of these terms, or the content of any message or campaign you create or send through the platform.
Disclaimer of warranties
Citizenly is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. OverQuo LLC does not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of Citizenly is at your sole risk.
Limitation of liability
To the fullest extent permitted by law, OverQuo LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Citizenly, including but not limited to loss of data, failure to deliver a message, or reliance on information provided through the platform. In no event shall OverQuo LLC's total liability to you exceed the greater of fifty dollars ($50) or the amount you paid to use the platform in the twelve months preceding the claim. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, liability is limited to the extent permitted by law.

Citizenly is a neutral platform. The views expressed in campaign descriptions or messages sent by citizens are those of the individual organizers and citizens, and do not represent the views of OverQuo LLC, Citizenly, or any other user of the platform. See our full Content Disclaimer.
Changes to these terms
We may update these terms at any time. Continued use of Citizenly after changes are posted constitutes acceptance of the revised terms.
Governing law and jurisdiction
These terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.
